General Introduction

I am a third year master major in automation at Shanghai Jiao Tong University,
P. R. China. With tremendous interest in Industrial Engineering, I am writing to apply
for acceptance into your Ph.D. graduate program.

Education background

In 1995, I entered the Nanjing University of Science & Technology (NUST) -- widely
considered one of the China’s best engineering schools. During the following
undergraduate study, my academic records kept distinguished among the whole
department. I was granted First Class Prize every semester,In 1999, I got the
privilege to enter the graduate program waived of the admission test.

At the period of my graduate study, my overall GPA(3.774.0) ranked top 5% in

< br>采购合同是公司或其他经济组织，为了生产和流通的需要，在本地或外地采购某些产品或原料而订立的合同 。与一般的货物买卖合同相比,它具有标的额大、技术含量高、期限性强等特点，
且通常采购方在合同中 占主动地位；尤其是项目采购合同，如果材料或设备采购出现问题，可能会影响整个项目的进程，甚至导致项目失 败。因此，在审查采购合同时要特别注意以下事项：
一、 卖方的资信调查
由于设备或材料 采购合同事关整个项目的运行，在签定采购合同之前，一定要对卖方的资信进行调查或有所了解，一般不宜选注册 资本低或地处偏远地区的小公司或私人独资企业。建议采
购方谨慎选择卖方，尽可能选择资信好、近距离 的交易对象。
二、 质量标准和技术规范
采购合同一般对所要采购的设备或材料要求比较高 ，要符合特定的质量标准和技术规范，并且将质量标准和技术规范（包括技术资料和图纸）细化作为合同附件，以 便减少合同风险，达到
交易目的。如果不便细化，并且有国家标准或行业标准的，只需在合同中注明“符 合国家标准或行业标准，如各标准之间存在差异，以较高者为准”即可。
三、 付款
作为采 购方，付款是合同的主要义务。为了顺利地达到交易目的，防止卖方拿到货款后以各种理由拒不发货，我们必须有 技巧地设计合同的付款条款。较为安全的方式是将付款和卖方履行
主要义务的进度和货物的质量挂钩。我 们认为采购方可以采取以下付款方式：
1、在合同生效后，可支付给卖方一定的预付款或定金，预付款 或定金应当在审查对方资信后付出，如对对方资信不完全确信，建议将预付款或定金适当降低，一般以合同总价款 的10%为
宜。
2、货物全部运抵采购方现场指定地点,经开箱验收合格后，卖方向采购方出 具该合同价的全额发票，采购方在十五个工作日内向卖方付至合同总价款的70%。
3、货物投入使用、验收合格后付至合同总价款的90%
4、合同总价款的10%作为质保金 ，待质保期(一年)满后无质量问题，采购方全额返还质保金给卖方(如有问题，应扣除相应部分)。质保期从货 物安装完或投入使用时起算。
四、交货
这是卖方的主要义务，卖方必须按约定的时间地点向 采购方提交符合合同要求的货物。在这个过程中，采购方需要注意的是：
1、明确具体的交货时间，以 及货物是分批提交还是一次性提交，确保所有货物在运至约定的地点时，才开始履行主要的付款义务。最好不要在 合同中约定模糊不清或有选择性的交货时间。

2、明确具体的交 货地点，选择交货地点的运输路线要确保货物能够顺利到达。在我们的顾问单位中曾经就出现这种纠纷，卖方认为 ，根据买方指定的交货地点，因为有段公路有故障，车辆
无法通过，所以无法将货物按时送到。因此，在 选择交货地点时，要全面考虑各种因素，包括车辆能否顺利到达的问题。
3、明确货物的运输方式及运 输费用的承担。根据约定的交货时间以及货物的性质选择合适的运输方式，并在合同中约定运输费用由谁来承担。
五、技术服务
在采购合同中，购买某一设备通常是与使用该设备的技术联系在一起的，因此， 双方往往会约定技术服务条款。：
1、卖方应及时提供与本合同设备有关的工程设计、安装调试、验收 、运行、检修等相应的技术指导、技术配合、技术培训等全过程的服务。
2、卖方须对一切与本合同有 关的供货、设备及技术接口、技术服务等问题负全部责任,且不得分包或外购，如经发现即刻终止合同,并不予以 支付任何款项。
3、凡与本合同设备相连接的其它设备装置，卖方有提供接口和技术配合的义务，并不 由此而发生合同价格以外的任何费用。
