双方同意按照下列条款由卖方出售买方收购下列货物：

This contract is made by and between the Buyer and Seller, Whereby the Buyer agrees to
buy and the Seller agrees to sell the under-mentioned goods on the terms and conditions stated

11.3.
信用证应符合
ICC, 1993 UCP Code 500
的规则及相关修正

The Letter of Credit shall be in conformity with rules of UCP Code 500 of ICC, 1993
revision and subsequent amendment as on date.
11.4.
信用证应该根据中国银行的相关条例开出。

The Letter of Credit shall be issued according to relevant regulations of China People’s
Bank.
12. DOCUMENTS FOR PAYMENT.
付款文件

A. Complete set of Clean on Board Shipped Bills (s) Lading made out to order, blank
endorsed marked Freight Prepaid and notifying port of destination in triplicate.
全套海运提单，标有运费已付，且注明目的港，一式三份。

B. Provisional Invoice in one original and Two (2) copies indicating the contract number,
L/C number, name of carrying vessel.
可提供的发票一份原件二份复印件，标有合同号，信用证号，船名称。

C. Copy of fax advising shipment according to Clause 12 of this contract.
传真复印件通知装船，根据本合同的第

D. Certificate of Quality and Certificate of Weight of contracted goods in one (1) original
and 2 (two) copies each issued by SGS and CIQ. The Certificate of Quality to show actual results
of the test of chemical composition and all other tests as called for in this contract.

Seller shall, as soon as possible ,but in any event not more than three working days
(excluding Indian publish holidays ) after completion of loading at the port of loading,advice
Buyer by facsimile ,of the contract number ,description of the goods ,invoice, weight shipped,
name of vessel, bill of loading number and loading date ,date of departure ,provisional analysis of
cargo and Letter of Credit number.

船运条款

SHIPPING TERMS

船只

VESSEL 本合同项下的所有货船的包租及分配均由卖方承担

买方保证在卸货港提供一个安全泊位供货船停泊

任何所有的税金

应付款及港口征收的各类费用均由买方 承担
.
All vessels to carry under this contract shall be chartered and allocated by the seller .Buyer
guarantees to provide one safe berth at the discharging port upon vessels arrival to accommodate a
vessel with Beam and as per permissible limits .Any and all taxes ,due and wharfage on the
cargo as levied by the Port Authorities are to the Buyer’s account .

At the loading port ,Seller
at Seller’s expense to determine the weight of shipment of ore by
SGS/QSS/MSK Limited .The weight of ore as ascertained and certified together with Seller’s
analysis certificate shall be basis of Seller’s invoice.
