就在中国境内开展“整合医学抗衰老诊所连锁项目”合作事宜，本着战 略互
利、优势联姻、长期合作的基本原则，甲、乙双方经友好协商一致决定，建立
稳定的基础的 长久的关键合作关系。双方在项目资源引入、做大做强的共识之
上，以统一的业务中国本土化整合经营目 标为合作基础，结成共同发展之牢固
联盟。为推动和保障项目顺利进行，针对该项目中甲、乙双方战略合 作关系的
定位，以及双方所享有的基本权利和义务，现签订合作框架协议如下（以下简
称“本框 架协议”）：

Based on the basic principle of strategic mutual benefit, mutual complementarity
and long-term cooperation, both parties agree to make a stable and long-term
cooperation in
“integration of medical anti
-
aging chain clinics” in China. After getting
to a common view on the introduction of project resources as well as the development
and growth of the cooperative project, both parties make a sturdy alliance to develop
together, with the common business and operational objective in Chinese market as
the basis for cooperation. To implement the project smoothly, both parties now sign
the following cooperation framework agreement (hereinafter referred to as “the
framework agreement”)
to clarify the strategic cooperative relation between both
parties and stipulate their fundamental rights and obligations.

Party A and Party B make cooperation in creating a project about

medical anti-
aging chain clinics”.

为充分发掘中国的巨大市场商机，充分利用甲方的商业资源及经营能力，
充分转化乙方的技术积累及品 牌优势，以此取得高额的经济回报和社会效益。
协商同意，甲方作为乙方通过
“
整合医 学抗衰老诊所连锁项目
”
进入中国，实现
中国本土化业务落地发展，完成业务规模扩张 战略目标的全权项目实施人，全
面协调项目的内外部各项合作事宜。

To seek more market opportunities in China,
make full use of Party A’s
commercial resources and operation capacities, and fully translate
Party B’s
technology accumulation and brand advantage, to gain high economic returns and
social benefits, both parties agree that Party A, as the full-fledged implementer of the
project about integration of medical anti- aging chain clinics, through which Party B
enters Chinese market to develop a localized business to achieve the strategic target of
expanding business scope, shall take full charge of all cooperation matters.
甲方作为乙方在该项目市 场及管理排他性的关键合作方，确保乙方享有不
可替代的首席专家地位及关键技术股东权益。

Party A, as the exclusive key partner of Party B in the project market and
management, shall ensure Party B
’s
irreplaceable role as chief expert and its equity as
key technology provider.
乙方作为项目的关键技术股东之一，确保甲方的关键合作地位，及项目所
需的技术或产品引入、人员培训等咨询、配套支持。

Party B, as one of the key technology providers in this project, shall ensure Party
A’s key position in the cooperation, as well as
those consulting and supporting

services such as the introduction of the technologies or products required for the
project and relevant personnel training, etc.
双方同意统筹推进彼此智慧及资源整合，以项 目联合发起人的名义共同参
与诊所设立过程中的重要市场活动。包括项目前期的业务设计、方案论证、公
关合作、品牌创设等一系列商业活动，以及融资前后的重要谈判。

Both parties agree to promote the integration of intelligences and resources in a
planned way, to jointly participate in all important marketing activities in the process
of clinic establishment under the name of project cosponsors, including a serious of
commercial activities such as business design, project approachment, cooperation in
public relations and brand creation in earlier stage of the project, as well as important
negotiations before and after financing activities.

权利与义务

甲方承认乙方为自己的战略合作伙伴，确保乙方 享有不可替代的首席
专家地位及关键技术股东权益。并在自身互联网官方网站的显著位置标识合作
方的旗帜徽标链接或文字链接。甲方授权乙方拥有在其互联网站上转载相关资
讯信息的权利。
