．根据本合同，版权所有者授予出版者独家许可，准许
其以该出版社的名义，以图书形式

共和国大陆发行，不包括香港和澳门和台湾。未经版权所有者
的书面同意，出版者不能复制版

Pursuant to this
contract proprietor award publisher with exclusive
permission of,
in name of publisher, in
the form of book (include paperback and hardcover
book),
translation, making and publish
the book in question in simplified Chinese with
the copies of (hereafter referred to as
version) which issued in the mainland of
People
’
s Republic
of China without including Hong Kong, Macao and
Taiwan.
Publisher can not, without the
permission of proprietor, make duplication of the
cover design of the book made by
proprietor and can not use the marks, trademark
and copyrights leaf. The rights awarded
by this contract is without respect to
other offspring edition of the book in
question.

< br>许可方使用其标识；另一些可能不希望其标识被使用，因为翻译版本可能被认为是某种形式的
合资。一些出版社为使用其名称收取一定费用或额外的版税。因此在签订合同之前澄清这个问
题是很重要的，如果许可方明确要求以联合名义出版，则本条的表述将被修正。

．对于出版
本的权利，出版者应按照第
18
条的规定一次性支付
版权所有者费用，版税按翻
译本定价的百分之

约定，即印数和中文版定价基础上的版税百分比；
中国目前有一个固定的图书定价体制。
以本合同为例，付款一般分两次付清，第一次在合同签
订时，第二次是在出版之日或约定
的“最后日期”。这个日期一般是翻译本的预计出版日期，
这意味着款项应当在该日期支
付，即使翻译本还没有出版，付款的时间和比例可以协商。如果
中方出版社认为所有付款
数额以美元表示比较容易支付，而如果美元又不是该国流通货币，就
必须与外国出版社协
商。
如果中方出版社违约，付款就被没收。还有一条规定，如
果图书最终定价高于谈判时的估价，
应按比例提高一次性付款，如果价格上涨，这是一个
重要因素。

．出版
者将负责安排一位合格的翻译者，保证准确无误翻译该作品，并将译者的名字和资历
报告
给版权所有者。未得到版权所有者的书面同意之前，不得对作品进行省略、修改或增加。
版权所有者保留要求出版者提交译稿样本的权利，在其同意后，出版者方可印刷。
Publisher shall assign a competent
translator to assure the accurate translation
of the work in question and report the
name and qualification of translator to
proprietor, could not, without prior
written permission of proprietor, omit, amend
or add to the work. Proprietor reserve
the title to require publisher submit the
stylebook of version. Publisher can
commence printing only having the permission
of proprietor.

．出版者在翻译本的封面、书脊、护封（如果有的话
）和扉页上都必须醒目的印上作者的姓
名，并注明原书版权详细信息以及下列声明：“此

许可出版”。出版者也将对翻译文本进行版权声明。

．翻译本出版后，出版者应向版权所有者提供

．如果出版者未能在
日期前出版该翻译本，该合同中的所有授权将由版权所有者收回，而出
版者向
版权所有者已经支付的任何款项不予退还。

版者不能转让该翻译本的任何附属权利。
