3.4

如果依据合同规定咨询方应 支付预提税和应向委托方支付

违约金

，委托方有权从上

述款项中扣除。

In case Consultant is liable for paying to Client the penalty under the Contract, Client

shall have the right to deduct it from any said payment.

3.5

为执行合同在中国境内发生的银行费用由委托方承担，中国之外的发生的费用由咨

询方承担。

The banking charges of both parties incurred in China for the execution of the

Contract shall be borne by Client and those incurred outside China shall be borne by

Consultant.
