1.

Definitions:

an

entity,

means

another

entity

that,

directly

or

indirectly, controls, is controlled by, or is under common control

with the first entity, where

of at least fifty percent (50%) of the voting power of securities or

interests in

the

entity

controlled.

“Confidential Information” means non

-public, confidential and/or

proprietary

information

disclosed

by

a

Party

to

another

Party,

including,

but

not

limited

to,

business,

marketing

and

technical

plans, strategies and information, financial information,

analyses,

forecasts, intellectual property and/or

the

subject

matter

thereof

and information concerning a Party's existing and future products

and services.

“保密信息”系指一方向另一方 披露的非公开、保密以及

专利信息 。包括但不仅限于：业务、营销、技术方案、策略

和信息，金融信息、分析、预测、知识 产权以及与一方现有

及将来产品与服务都有关的信息和事项。

“Discloser”

means

a

Party

disclosing

Confidential

Information

pursuant to this Agreement.

“披露方”系指根据本协议规定披露保密信息的一方。

“Party” means either

SiXtron or the Company.

“协议一方”系指

“Recipient”

means

a

Party

receiving

Confidential

Information

pursuant to this Agreement.

“信息接收方”系指根据本协议规定接收保密协议的一方。

2.

Disclosure

Period:

This

Agreement

pertains

to

Confidential

Information

that

is

disclosed

by

a

Party

from

the

Effective

Date

through

one

(1)

year

thereafter,

or

the

termination

date

of

this

Agreement

if

earlier

terminated

as

provided

herein

(“

Disclosure

Period

”).

披

露期限：

本保密协议自生效日期起一年内有效，或按 本协议规

定终止协议的日期早于规定的一年之前，则有效期限截至协议终

止日期。（披露期限）

3.

Use of Confidential Information:

Recipient shall have the right

to make use of Confidential Information during the

Disclosure

Period

for the sole purpose of evaluating potential strategic business alliances

and/or mutually

beneficial

initiatives

and/or

transactions

between

the

Parties

(

保密协议的使用：保密协议接收方有权

在披露期限内使用保密信息，但仅限于用 来评估潜在策略联盟以

及双赢事项或协议双方之间的交易目的。

4.

Confidentiality

Period:

Recipient

shall

not

disclose,

and

shall

protect against disclosure of, Confidential Information for a period

of

three

(3)

years

from

the

date

of

such

disclosure.

Either

Party

may

terminate

this

Agreement

at

any

time

without

cause

upon

written

notice

to

the

other

Party;

however,

all

obligations

of

confidentiality

shall

survive

termination

and

expiration

of

this

Agreement.

In

the

event

this

Agreement

is

terminated

or

expires,

each

Recipient

shall

promptly

return

all

Confidential

Information

received

from

each

Discloser,

together

with

all

copies,

or,

if

requested

by

Discloser,

certify that all such Confidential Information, together with all copies,

has

been

destroye d.

保密期限：接收方应保证自身在收到披露方保

密信息后的三 年内对保密信息进行保密并采取措施防止他人披

露。协议任一方任何时候均可提出终止本 协议，且无须事先向另

一方签发书面通知，但是，其保密义务必须并不因本协议终止而< /p>

消失，而应延续至本协议失效之日。如果本协议终止或到期，则

接 收方应立即将其所收到的所有相关保密信息，连同所有复印件

一并返还给所有相关披露方 。或者，应披露方要求，出具一份证

明：说明所有此类保密信息连同其副本均已销毁。< /p>

5.

Care

of

Confidential

Information:

Recipient

shall

protect

Confidential Information by using the same degree of

care

to

prevent

the unauthorized use, dissemination or publication of such Confidential

Information

as

Recipient

uses

to

protect

its

own

confidential

information of a like nature, but no less than a reasonable degree of care.

Recipient

further

agrees

that

it

will

not

disclose

Confidential

Information

to

any

person,

except

to

its

employees,

contractors

or

agents who need to know such Confidential Information for purposes

authorized

under

this

Agreement

and

who

are

advised

of

this

Agreement and agree to be bound by this Agreement to the same extent

as if they were parties hereto, it being understood that Recipient shall

be

responsible

for

any

breach

of

this

Agreement

by

its

employees,

contractors

or

agents.

保密信息的保管：接收方应妥善保管保密信< /p>

息，杜绝非授权擅自使用、传播或公布保密信息的情况，一如接

收 方保护自身的保密信息一样，最低限度，接收方也必须尽心尽

责的履行保密信息的保管保 护责任。另外，接收方还保证：除了

那些有必要了解保密信息、用于本协议认可的用途、 明了本协议

保密要求、同意遵守本协议同等约制的接收方员工、承包商和代

理商之外，接收方不会擅自将保密信息披露给其他无关人士。双

方确认，接收 方必须对其员工、承包商或代理商的违约责任负

责。
